1. Acceptance of Terms

Welcome to ClarityCommerce. These Terms of Service ("Terms") govern your access to and use of the ClarityCommerce Autonomous Commerce Operating System, including our websites, APIs, dashboards, and AI-driven services (collectively, the "Platform"). By creating an account or using the Platform, you agree to be bound by these Terms. If you are using the Platform on behalf of a business or organization, you represent and warrant that you have the authority to bind that entity to these Terms.

2. Description of Service

ClarityCommerce is an enterprise-grade Autonomous Commerce Operating System. The Platform utilizes advanced artificial intelligence, including Large Language Models (LLMs) and a Digital Workforce of specialist agents, to analyze business topologies, identify opportunities, mitigate risks, and execute commerce operations. The Platform is designed to integrate with third-party commerce, CRM, and financial systems to provide a unified intelligence layer for your business.

3. The Governance Gate & Human Oversight

ClarityCommerce operates on a "Human-in-the-Loop" architecture. While our AI agents can autonomously execute low-risk tasks, all high-risk, financial, or strategic actions (such as modifying pricing, allocating ad spend, or altering inventory) are routed through the Governance Gate. This system pauses execution and requires your explicit human approval before deployment.

Liability: You retain ultimate responsibility and liability for any action executed by the Digital Workforce that you have approved via the Governance Gate. ClarityCommerce acts as a strategic intelligence tool and does not serve as a legal, financial, or regulatory fiduciary. You are solely responsible for ensuring that approved actions comply with all applicable laws and regulations.

4. AI Limitations & "As-Is" Insights

The Executive AI, Opportunity Engine, and Risk Engine analyses are generated using probabilistic machine learning models. While we employ rigorous testing and enterprise-grade infrastructure, AI systems can occasionally produce inaccuracies, hallucinations, or rely on outdated market assumptions.

The Platform is provided on an "As-Is" and "As-Available" basis. You must independently verify all strategic recommendations, compliance flags, and financial forecasts before implementing them in your live commerce environments. ClarityCommerce does not guarantee specific business outcomes, revenue increases, or conversion rates resulting from the use of our AI insights.

5. Third-Party Integrations & Data

The Platform integrates with third-party services (e.g., Shopify, WooCommerce, Stripe, QuickBooks) via APIs. You are responsible for maintaining the security of your credentials for these third-party services and ensuring that your use of the Platform complies with the terms of service of those third-party providers.

ClarityCommerce is not responsible for the downtime, policy changes, or API failures of third-party platforms. If a third-party provider suspends your API access, certain autonomous features of ClarityCommerce may be temporarily disabled.

6. Acceptable Use Policy

You agree not to use the Platform to:

• Execute fraudulent commerce activities, generate fake reviews, or engage in market manipulation.
• Scrape competitor data or intellectual property in violation of third-party Terms of Service or applicable laws.
• Upload malicious payloads, prompt injections, or exploits designed to compromise the Model Context Protocol (MCP) architecture or the underlying LLMs.
• Violate any local, state, national, or international laws, including but not limited to data privacy regulations (e.g., GDPR, CCPA) and consumer protection laws.
• Circumvent or attempt to circumvent the Governance Gate or platform security measures.

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without prior notice.

7. Subscriptions, Billing & Cancellation

Access to the Platform's execution features is governed by your selected subscription tier (e.g., Starter, Growth, Professional). Subscriptions are billed on a recurring monthly basis via our payment processors (e.g., PayPal). By subscribing, you authorize us to automatically charge your designated payment method at the beginning of each billing cycle.

You may cancel your subscription at any time via your account Settings > Data Management dashboard. Cancellation will take effect at the end of your current billing period. We do not provide prorated refunds for partial months of service, except as required by applicable law or in the event of a documented technical billing error.

8. Data Privacy & Zero-Retention AI

Your privacy is foundational to our architecture. ClarityCommerce operates on a strict Zero-Retention Policy for proprietary data processing. Your business data, Commerce Memory, and Knowledge Graph are encrypted at rest (AES-256) and in transit (TLS 1.3), and are strictly isolated via Row-Level Security (RLS).

9. Intellectual Property Rights

Our Property: ClarityCommerce and its licensors own all rights, title, and interest in and to the Platform, including the Executive AI, Digital Workforce, Governance Gate architecture, code, and UI/UX designs. These Terms do not grant you any right to use our trademarks or logos without explicit written permission.

Your Property: You retain all ownership rights to your underlying commerce data, customer lists, and proprietary business information uploaded to or processed by the Platform. We claim no ownership over your data.

10. Limitation of Liability

To the maximum extent permitted by applicable law, ClarityCommerce, its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, resulting from:

• Your use of, or inability to use, the Platform.
• Any AI-generated strategies, pricing changes, or automated actions approved via the Governance Gate.
• Platform downtime, latency, or security breaches.
• Third-party API failures, rate limits, or outages (e.g., Shopify, WooCommerce, Meta Ads).

Our total aggregate liability for any claims arising out of these Terms shall not exceed the total amount of fees you paid to ClarityCommerce in the twelve (12) months preceding the event giving rise to the liability.

11. Indemnification

You agree to defend, indemnify, and hold harmless ClarityCommerce from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Platform; (b) your violation of these Terms; (c) your violation of any rights of any third party, including intellectual property or privacy rights; or (d) any actions taken by your Digital Workforce that you approved via the Governance Gate.

12. Term & Termination

These Terms commence on the date you accept them and remain in full force and effect while you use the Platform. We reserve the right to suspend or terminate your access immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms. Upon termination, your right to use the Platform will cease immediately. We will retain your data in accordance with our data deletion policies outlined in the Privacy Policy.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by updating the "Last Updated" date at the top of this page or via email. Your continued use of the Platform after such changes constitutes your acceptance of the new Terms. If you do not agree to the updated Terms, you must stop using the Platform and cancel your subscription.
